This is a versatile classic type NDA that you may use when presenting information to a potential client, investor, manufacturer or distributor. It includes an additional non-circumvention provision, and a non-compete provision, not found in our simple NDA.
This provision addresses the scenario where the other party may be tempted to take the information you provide, and use it to their advantage, cutting you out of the deal, or directly competing with you. It’s mostly one-sided, meaning only one of the parties (you) will be disclosing confidential or proprietary information.
